Minimum advertised price policy

1. Purpose

Modus builds premium mobile and marine audio products engineered for real-world performance. Our authorized dealer network protects product integrity, installation quality, and customer trust. This Minimum Advertised Price (MAP) Policy supports that network by setting minimum advertised pricing for Modus products sold in the United States and Canada.

Consistent pricing across channels protects:

Dealer margin and the value of carrying the Modus line
End-customer confidence in product pricing
Brand equity for the Modus name
The investment dealers make in inventory, training, and installation support

2. Scope

This policy applies to all Modus-branded products, including source units, amplifiers, speakers, subwoofer enclosures, signal processors, audio zone controllers, rechargeable batteries, wires, terminals, and connectors. The policy applies to any party advertising Modus products within the United States and Canada, including:

Authorized dealers and their affiliates
Online resellers and marketplace sellers
Brick-and-mortar retail locations
Distributors reselling to dealers

The policy governs advertising only. It does not set the final sale price. Dealers remain free to sell Modus products at any price they choose.

3. Definition of Advertised Price

"Advertised Price" means any price displayed publicly for a Modus product, including:

Website product listings and category pages
Online marketplaces (Amazon, eBay, Walmart Marketplace, Google Shopping, and similar)
Printed catalogs, flyers, and direct mail
Email marketing and newsletters
Paid search, display, and social media advertising
Comparison-shopping engines and affiliate networks
Banner ads, pop-ups, and promotional overlays
Text and SMS campaigns

4. MAP Pricing

MAP pricing for each Modus SKU is published in the Modus MAP Price List, available to authorized dealers upon request from privacy@modusglobal.com. The MAP Price List is updated from time to time. Dealers are responsible for checking current pricing before publishing any advertisement for Modus products.

5. Exclusions from MAP

The following do not count as advertising a price below MAP:

Prices shown only after a customer adds an item to cart or logs into a dealer account
Verbal quotes given in person or by phone
Written quotes delivered directly to a named customer
Bundled pricing where a Modus product is sold together with non-Modus products, provided the bundle is not designed to mask a below-MAP price for the Modus item
Sales of genuinely used, open-box, customer-returned, or refurbished Modus products when the condition is identified in the listing
Sales of discontinued Modus products identified on the current Discontinued Product List

6. Authorized Promotional Windows

Modus may authorize temporary MAP exceptions for specific promotional periods, for example Black Friday, Cyber Monday, and holiday sales. Modus will communicate the pricing, dates, and participating products in writing to authorized dealers. Outside of these authorized windows, MAP applies without exception.

7. Examples of MAP Violations

The following are violations of this policy:

Listing a Modus product at any advertised price below MAP
Offering automatic discount codes, site-wide coupons, or percentage-off promotions that net a displayed price below MAP
Using "Add to Cart for Price" or similar tactics where the product detail page implies a price below MAP
Free or discounted shipping offers that, combined with product price, net below MAP
Rebate offers applied at point of display rather than at point of sale
Gift-with-purchase offers where the gift's value, taken against product price, nets below MAP
Listing MAP pricing as a "strike-through" price next to a lower displayed price

8. Enforcement

Modus monitors MAP compliance across online marketplaces, dealer websites, and marketing channels. When Modus identifies a violation, the following steps apply:

First Violation. Modus sends written notice of the violation to the dealer. The dealer has five (5) business days from the date of notice to correct the advertised price and confirm correction in writing.
Second Violation. Authorized dealer status is suspended for thirty (30) days. During suspension, Modus will not fulfill new orders from the dealer.
Third Violation. Dealer authorization is terminated. Modus will not fulfill future orders from the dealer, and warranty support on any Modus products sold by the dealer after termination is not covered under the Modus 2-year limited warranty.

Modus reserves the right to skip steps and move directly to suspension or termination for repeat violations, willful violations, or violations involving unauthorized resellers.

9. Unilateral Policy

This is a unilateral policy adopted by Modus. Modus has not solicited, and will not accept, any dealer's agreement to comply with this policy. Dealers are free to decide independently whether to advertise Modus products at or above MAP. Modus is free to decide independently whether to continue selling to any dealer that advertises below MAP.

Modus employees, sales representatives, and agents are not authorized to discuss, negotiate, or modify this policy. Any communication purporting to waive, change, or create an exception to this policy is void unless issued in writing by a corporate officer of DSP Solutions, Inc..

Modus does not acknowledge receipt or provide status updates on violation reports. Reports are reviewed internally, and enforcement actions are taken at Modus's sole discretion.

11. Policy Updates

Modus reserves the right to revise, update, or terminate this policy at any time. The current version is posted at modusglobal.com/pages/map-policy. It is the dealer's responsibility to check the posted version before publishing any advertisement for Modus products.
